Financial statements may be consolidated internally by the Group&#8217;s finance department, or externally by an accounting firm with expertise in financial statement consolidation.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<figure class=\"wp-block-image aligncenter size-medium is-resized\"><img decoding=\"async\" width=\"300\" height=\"200\" src=\"https:\/\/www.altermes.fr\/wp-content\/uploads\/2023\/10\/Photos-article-2100-\u00d7-1400-px-1050-\u00d7-700-px-5-300x200.jpg\" alt=\"consolidation\n\" class=\"wp-image-249226\" style=\"aspect-ratio:1.5;width:359px;height:auto\" srcset=\"https:\/\/www.altermes.fr\/wp-content\/uploads\/2023\/10\/Photos-article-2100-\u00d7-1400-px-1050-\u00d7-700-px-5-300x200.jpg 300w, https:\/\/www.altermes.fr\/wp-content\/uploads\/2023\/10\/Photos-article-2100-\u00d7-1400-px-1050-\u00d7-700-px-5-1024x683.jpg 1024w, https:\/\/www.altermes.fr\/wp-content\/uploads\/2023\/10\/Photos-article-2100-\u00d7-1400-px-1050-\u00d7-700-px-5-768x512.jpg 768w, https:\/\/www.altermes.fr\/wp-content\/uploads\/2023\/10\/Photos-article-2100-\u00d7-1400-px-1050-\u00d7-700-px-5-980x653.jpg 980w, https:\/\/www.altermes.fr\/wp-content\/uploads\/2023\/10\/Photos-article-2100-\u00d7-1400-px-1050-\u00d7-700-px-5-480x320.jpg 480w, https:\/\/www.altermes.fr\/wp-content\/uploads\/2023\/10\/Photos-article-2100-\u00d7-1400-px-1050-\u00d7-700-px-5.jpg 1050w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/><\/figure>\n\n\n\n<p><\/p>\n\n\n\n<div style=\"height:20px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">1 &#8211; <strong>The challenges of consolidating accounts<\/strong><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">The benefits of consolidation<\/h3>\n\n\n\n<p>Consolidating financial statements has several advantages for the parent company and its stakeholders, including :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>it <strong>reflects the economic and financial performance of the Group<\/strong> as a whole, by eliminating internal transactions (sales, purchases, dividends, etc.) that have no impact on net income;<\/li>\n\n\n\n<li>it <strong>facilitates financial communication<\/strong> <strong>with shareholders, investors, banks, regulatory authorities and the public<\/strong> by providing reliable, comparable and transparent information on the Group&#8217;s situation;<\/li>\n\n\n\n<li>it enables <strong>compliance with legal and regulatory<\/strong> accounting and auditing <strong>requirements<\/strong>, by conforming to applicable national or international accounting standards (ANC Reg. 2020-01 or IFRS);<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">The challenges of account consolidation<\/h3>\n\n\n\n<p>Consolidating accounts involves a number of challenges for the parent company and its subsidiaries:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>it requires <strong>coordination and harmonization between the various Group entities<\/strong>, which may have different information systems, accounting methods, currencies or fiscal years;<\/li>\n\n\n\n<li>It requires<strong>technical expertise and a mastery of accounting standards<\/strong>, which can be complex and evolving;<\/li>\n\n\n\n<li>it entails <strong>the financial and human cost<\/strong> of collecting, processing, analyzing and verifying accounting data;<\/li>\n<\/ul>\n\n\n\n<div style=\"height:20px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">2.  <strong><strong>Consolidation of financial statements<\/strong><\/strong><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">Consolidation of financial statements<\/h3>\n\n\n\n<p>Consolidation of accounts is<strong>compulsory for commercial companies that exclusively or jointly control one or more companies (C. com. art. L 233-16)<\/strong>.  <\/p>\n\n\n\n<p><strong>Exclusive control<\/strong> results from <strong>direct or indirect ownership of the majority of voting rights <\/strong>or the <strong>ability to appoint the majority of members of the management bodies<\/strong> of another company.  <\/p>\n\n\n\n<p><strong>Joint control<\/strong> results from the fact that <strong>at least two companies make decisions in agreement<\/strong>. When a company exclusively or jointly controls an enterprise, it must also include in its scope of consolidation the entities over which it exercises significant influence (C. com. art. L 233-17-2). This influence is presumed when the company holds more than 20% of voting rights.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Exemptions from consolidation<\/h3>\n\n\n\n<p>Companies subject to the obligation to consolidate their accounts may, however, be exempted in certain cases (C. com. art. L 233-17), notably :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>if they are part of a small group<\/strong>, i.e. if they do not exceed two of the following three thresholds for two successive financial years: 250 employees, sales of \u20ac48 million or total assets of \u20ac24 million;<\/li>\n\n\n\n<li>if <strong>they are themselves controlled by a company <\/strong>that includes them in its consolidated accounts ;<\/li>\n\n\n\n<li>if all <strong>their subsidiaries have an insignificant interest<\/strong>, both individually and collectively.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Consolidation methods<\/h3>\n\n\n\n<p>The parent company must <strong>choose the consolidation method best suited to each entity in the group<\/strong>, depending on the type and degree of control it exercises over it. There are <strong>three main consolidation methods<\/strong> (R\u00e8gl. ANC 2020-01):<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>full<\/strong> consolidation, in which all the subsidiary&#8217;<strong>s assets, liabilities, income and expenses<\/strong> are included. This method applies to subsidiaries controlled exclusively by the parent company;<\/li>\n\n\n\n<li><strong>proportional consolidation<\/strong>, which consists of including the <strong>share of the <\/strong>subsidiary&#8217;s <strong>assets, liabilities, income and expenses <\/strong>corresponding to the percentage of control exercised by the parent company. This method applies to subsidiaries jointly controlled by the parent company;<\/li>\n\n\n\n<li>the <strong>equity<\/strong> method, which consists of <strong>substituting the gross value of the shares held in the subsidiary with the share of <\/strong>the subsidiary&#8217;s <strong>equity and income <\/strong>corresponding to the percentage of influence exercised by the parent company. This method applies to entities over which the parent company exercises significant influence.<\/li>\n<\/ul>\n\n\n\n<div style=\"height:20px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h2 class=\"wp-block-heading\">3. <strong>The accounts consolidation process<\/strong><\/h2>\n\n\n\n<p>Consolidating accounts is a complex and rigorous process, requiring a number of steps in order to obtain reliable and relevant consolidated financial statements. These steps are as follows:<\/p>\n\n\n\n<div style=\"height:20px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<figure class=\"wp-block-image size-large\"><img decoding=\"async\" width=\"1024\" height=\"495\" src=\"https:\/\/www.altermes.fr\/wp-content\/uploads\/2023\/10\/Consolidation-des-comptes-1024x495.png\" alt=\"\" class=\"wp-image-249222\" srcset=\"https:\/\/www.altermes.fr\/wp-content\/uploads\/2023\/10\/Consolidation-des-comptes-980x474.png 980w, https:\/\/www.altermes.fr\/wp-content\/uploads\/2023\/10\/Consolidation-des-comptes-480x232.png 480w\" sizes=\"(min-width: 0px) and (max-width: 480px) 480px, (min-width: 481px) and (max-width: 980px) 980px, (min-width: 981px) 1024px, 100vw\" \/><\/figure>\n\n\n\n<div style=\"height:20px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>determine the scope of consolidation<\/strong>, which covers all entities over which the parent company exercises exclusive, joint or significant control. Consolidatable entities must be identified, along with the nature of control and percentage interests, taking into account any changes that may have occurred during the year (acquisitions, disposals, mergers, etc.);<\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>make restatements<\/strong> to ensure the consistency and comparability of accounting data for the various Group entities. Accounts expressed in foreign currencies must be translated using the appropriate exchange rates (closing rate for the balance sheet, average rate for the income statement), and exchange rate effects must be eliminated. It is also necessary to standardize the parent company financial statements by applying the same accounting methods and principles between the various companies in the group, in compliance with the accounting standards chosen (ANC Reg. 2020-01 or IFRS);<\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>carry out consolidation operations<\/strong>, which involve aggregating the financial statements of Group entities according to the consolidation method corresponding to the degree of control exercised by the parent company (full consolidation, proportional consolidation or equity method). Eliminate intercompany transactions, i.e. transactions within the Group that have no impact on consolidated net income (sales, purchases, dividends, etc.). Goodwill also arises from the difference between the price paid to acquire a subsidiary and its net book value remeasured at fair value. These differences break down into two components: the revaluation of identifiable assets and liabilities and goodwill ;<\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>prepare the consolidated financial statements<\/strong>, which present the assets, financial and economic situation of the Group as a whole. The consolidated financial statements must include the consolidated balance sheet, the consolidated income statement and the notes to the consolidated financial statements. The notes to the consolidated financial statements include a cash flow statement, which shows the Group&#8217;s cash inflows and outflows, and a statement of changes in shareholders&#8217; equity, which shows movements affecting the Group&#8217;s shareholders&#8217; equity.<\/li>\n<\/ul>\n\n\n\n<div style=\"height:20px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<figure class=\"wp-block-image aligncenter size-large\"><img decoding=\"async\" src=\"https:\/\/media.giphy.com\/media\/XqISUtXjwakn7yZnqv\/giphy.gif\" alt=\"\"><\/figure>\n\n\n\n<p>\u2753 Want to find out more about account consolidation?
